Ralph has over 25 years of experience counseling entrepreneurs, executives, directors and corporate boards of directors for businesses at all stages of growth and in a variety of industries.   Ralph served as Executive Vice President and Corporate Counsel for Allied Capital Corporation, a publicly traded investment company located in Washington, DC with assets over $5 billion,  from 2004-2011. While at Allied, he had executive responsibility for corporate legal affairs and provided legal counsel to over 50 Allied investment professionals,  including mergers and acquisitions,  due diligence, litigation, and regulatory matters for a portfolio of over 140 privately held, middle market companies in a variety of industries such as business and financial services, consumer products, healthcare,   insurance and manufacturing.  .  Prior to joining Allied, Ralph was a partner at the law firm of Baker & Hostettler, LLP,  focusing primarily on  litigation matters, focusing on disputes involving corporate, commercial, real estate, intellectual property, construction, contracts, insurance, media, healthcare and employment matters.   .  Over the course of his career, Ralph has helped numerous companies navigate the legal challenges associated with growing their businesses, including capital raising, compliance, mergers and acquisitions, divestitures, joint ventures, contracts, litigation, IP protection, employment and compensation matters.  A Washington area native, Ralph received  law and MBA degrees from University of North Carolina School of Law and his undergraduate degree in Management Science from Duke University, graduating magna cum laude.  Ralph is admitted to practice in Pennsylvania, District of Columbia and Maryland.
